DoorDash Reportedly in Exclusive Talks to Acquire Grocery Delivery Rival Instacart

DoorDash is engaged in exclusive negotiations to acquire Instacart, according to people familiar with the matter, in a potential transaction that would combine two of the nation’s largest home-delivery services. A finalized agreement would fuse Instacart’s grocery-store-centric delivery network with DoorDash’s dominant restaurant-focused platform, creating an expansive home-delivery giant.

The two companies previously explored a combination in 2021 when DoorDash submitted a takeover bid for Instacart. Those earlier discussions ultimately collapsed over disagreements concerning valuation and mounting concerns over potential antitrust scrutiny. Neither of those obstacles applies to the same degree today.

Instacart currently carries a market valuation of approximately $12 billion. Industry watchers estimate that a conservative acquisition premium would likely push the final purchase price to around $15 billion. By comparison, DoorDash commands a market capitalization of roughly $75 billion.

A combined enterprise would form a formidable competitor in the broader home-delivery and logistics sector, which has faced mounting pressure from retail heavyweights Amazon and Walmart. Those retail giants have steadily squeezed conventional grocery operators and delivery platforms alike over recent years.

Dealmakers anticipate that antitrust regulators under the current political climate would offer a clear path for the combination. The Trump administration has maintained a light-touch approach toward corporate mergers, recently clearing major transactions such as the combination of Warner Bros. Discovery and Paramount.

However, financial and legal strategists expect that regulatory window could narrow or shift significantly if Democratic candidates prevail in upcoming elections. Senior Democratic lawmakers have already indicated plans to scrutinize federal antitrust approvals and investigate previously closed corporate deals.

Negotiations remain ongoing, and neither company has publicly released a formal statement regarding the exclusive talks. The structure and ultimate timing of any potential agreement remain subject to change as discussions continue.
